CGI Group Inc.'s Management Proxy Circular for the fiscal year ended September 30, 2021, was mailed to shareholders with the fiscal 2021 results on December 17, 2021.

This Management Proxy Circular is provided in relation to the solicitation of proxies by the management of CGI Inc. (“CGI” or the “Company”) for use at the Annual General Meeting of Shareholders (the “Meeting”) of the Company which will be held virtually, via live webcast, on February 2, 2022, and at any adjournment thereof. CGI complies with all SEC filing requirements applicable to it as a foreign private issuer as well as with all applicable Canadian Securities Administrators' requirements. CGI files with the SEC an annual report on Form 40-F, including, among other things, the Annual Information Form which CGI files with the Canadian Securities Administrators and its audited annual financial statements, and Forms 6-K disclosing information it is required to make public, file with the Toronto or New York Stock Exchanges or distribute to its security holders, including among other things quarterly earnings news releases, financial statements and notes and MD&A documents.
