CGI Group Inc. (TSX: GIB.A) (NYSE: GIB) reported fiscal 2012 third quarter revenue of $1.1 billion compared with $1.0 billion in the year ago period, representing an increase of $52.0 million or 5.1%, driven primarily by strong year-over-year growth in the Company’s US operations.

Adjusted EBIT was $136.3 million, representing a margin of 12.8%, compared with $139.2 million and 13.7% in the same period last year.

Net earnings were $87.2 million or 8.2% of revenue and diluted earnings per share were 33 cents in Q3-F2012. Compared with same period last year, both net earnings and EPS were negatively impacted by the costs related to the acquisition of Logica plc, additional financing costs and the execution of a real estate optimization initiative, while last year’s results benefited from favourable tax adjustments.

The Company generated $251.0 million in cash from operating activities during the quarter, or 23.6% of revenue including the positive impact of changes in working capital. Over the last twelve months CGI has generated $690.5 million or $2.57 in cash per diluted share.

During the quarter, the Company booked $1.5 billion in new contract wins, extensions and renewals, bringing the total bookings over the last twelve months to $5.1 billion, for a book-to-bill of 123%. At the end of June 2012, the Company’s backlog of signed orders stood at $13.6 billion, up $1.0 billion compared with the same period last year. The backlog represents approximately 3.3 times revenue on a trailing twelve-month basis. 

“We continue seeing a positive growth trend particularly in the US which grew by 18.4% year-over-year in Q3," said Michael E. Roach, President and Chief Executive Officer. “Our continuing ability to generate significant cash from operations positions us to fully meet our strategic and financial commitments, including the transformational business combination with Logica which we expect to close in the current quarter.”

The Company reduced its net debt by $295.6 million for a net debt of $633.4 million at the end of the quarter, representing a net debt to capitalization of 19.4%. At the end of Q3‑F2012, the Company had approximately $4.5 billion in committed liquidity.

Normal Course Issuer Bid
The Company purchased 453,000 CGI shares during the quarter for $9.4 million at an average price of $20.82 as part of its program, renewed on February 1, 2012, allowing the purchase of up to 10% of the Company’s public float of Class A subordinate shares, or approximately 22 million shares over the next year.

During the first nine months of fiscal 2012, approximately 5.4 million shares have been purchased at an average price of $19.16 for a total investment of $102.8 million.

Logica acquisition
Following a General Meeting held in London on July 16, Logica’s shareholders voted 99.54% in favour of CGI’s recommended cash offer of 105 pence per share.

Subject to the sanction of the Court and the satisfaction or waiver of certain other conditions, it is presently expected that the acquisition will be completed on August 20, 2012, subject to the remaining conditions being fulfilled.
